1. Definitions
“Kalbot” means Kalbot Solutions. “Services” means any products and services we provide, including Kalbot OS, consulting, onboarding, implementation, websites, automations, AI receptionist setup, and support. “You” means the individual or business using our website or Services. “Client Data” means data you (or your customers) submit through the Services.
2. Eligibility & account responsibilities
- You must be legally able to enter into a binding contract to use the Services.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- You agree to provide accurate information and keep it updated.
3. Services (Kalbot OS + implementation)
We provide business automation and related services that may include CRM configuration, pipelines, workflows, messaging, websites/funnels, AI assistants, integrations, reporting, training, and ongoing support.
Timelines and deliverables may vary depending on your responsiveness, the completeness of information you provide, and third-party platform performance.
4. Fees, billing & taxes
- Fees are set out in your proposal, order form, invoice, or agreement.
- Unless otherwise stated, fees are due in advance and are non-refundable once work has started.
- You are responsible for applicable taxes (including GST/QST where applicable).
- If payment is late, we may pause Services until amounts are paid.
If your Services include messaging/telephony (SMS/voice), you understand that carrier fees, registration requirements, and third-party policies may apply.
5. Client content & data
You retain ownership of your Client Data. You grant Kalbot permission to process Client Data solely to provide and improve the Services, troubleshoot issues, and support your account.
You represent that you have all necessary rights and consents to upload, use, and process Client Data, including any personal information of your customers.
6. Acceptable use
You agree not to use the website or Services to:
- Send unlawful, deceptive, abusive, harassing, or spam communications.
- Violate privacy, marketing, or anti-spam laws (including CASL) or carrier policies.
- Transmit malware, attempt unauthorized access, or disrupt systems.
- Infringe intellectual property or other rights of others.
We may suspend or terminate access if we reasonably believe your use violates these Terms or creates risk to us, you, or others.
7. Third-party platforms & integrations
Kalbot OS may rely on third-party services (e.g., hosting providers, telephony/SMS carriers, analytics, email providers, and integration tools). Availability and performance of those services are outside our control.
Third-party products are governed by their own terms, fees, and policies, and you agree to comply with them.
8. Intellectual property
The website, branding, software configurations, templates, and materials provided by Kalbot are protected by intellectual property laws. Except as expressly allowed in writing, you may not copy, resell, or distribute Kalbot materials.
If we build custom assets for you (e.g., website copy/design), ownership and licensing may be defined in your proposal or agreement.
9. Confidentiality
Each party may receive confidential information from the other. You agree not to disclose or misuse Kalbot’s confidential information, and we will protect your confidential information using reasonable safeguards.
10. Disclaimers
The website and Services are provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation. Results may vary based on your industry, offer, ad spend, lead quality, and operational follow-through.
Kalbot does not provide legal, tax, accounting, or regulated professional advice. You are responsible for compliance with laws applicable to your business.
11. Limitation of liability
To the maximum extent permitted by law, Kalbot will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or business interruption.
Where liability cannot be excluded, Kalbot’s total liability for any claim related to the Services will be limited to the amounts you paid to Kalbot for the Services in the three (3) months preceding the event giving rise to the claim.
12. Indemnity
You agree to indemnify and hold harmless Kalbot from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, your Client Data, or your breach of these Terms.
13. Term, suspension & termination
- These Terms apply while you use the website or Services.
- We may suspend Services for non-payment, security concerns, or material breach.
- You may cancel ongoing Services according to the cancellation terms in your agreement or invoice terms.
14. Changes to services or terms
We may update the Services and these Terms from time to time. Updated Terms will be posted on our website with a revised “Last updated” date. Continued use after changes means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the Province of Quebec and the applicable laws of Canada, without regard to conflict of law principles. You agree that courts located in Quebec will have jurisdiction over disputes related to these Terms, unless otherwise required by law.
